Summary of the Action
The purpose of this website is to inform you of the pendency of this securities class action (the “Action”), the proposed settlement of the Action (the “Settlement”), and a hearing to be held by the Court to consider: (i) whether the Settlement should be approved; (ii) whether the proposed plan for allocating the proceeds of the Settlement (the “Plan of Allocation”) should be approved; and (iii) Lead Counsel’s application for attorneys’ fees and expenses. The Notice describes important rights you may have and what steps you must take if you wish to participate in the Settlement, wish to object, or wish to be excluded from the Settlement Class.
The Settlement resolves claims by Oklahoma Police Pension and Retirement System and Oklahoma Firefighters Pension and Retirement System (collectively, “Lead Plaintiffs”) that have been asserted on behalf of the proposed Settlement Class against LifeLock, Inc. (“LifeLock,” or “the Company”), Todd Davis, Chris Power, and Hilary Schneider (collectively, “Defendants”).
If approved by the Court, the Settlement will provide $20,000,000 gross (the “Settlement Amount”), plus interest as it accrues, minus attorneys’ fees, costs, a compensatory award to Lead Plaintiff and administrative expenses, net of any taxes on interest, will be distributed to Settlement Class Members according to the Court-approved plan of allocation (the “Plan of Allocation” or “Plan”). The proposed Plan of Allocation is set forth on pages 19-27 of the Notice.
The Settlement Class consists of:
All Persons and entities who or which purchased or otherwise acquired shares of LifeLock publicly traded common stock and/or call options, and/or sold LifeLock publicly traded put options during the period from July 31, 2014 through July 21, 2015, inclusive, and who were damaged thereby.
If you are a member of the Settlement Class, your legal rights will be affected whether you act or do not act. Please read the Notice to fully understand your rights and options.
Payments to eligible claimants will be made only if the Court approves the Settlement and a plan of allocation, and only after any appeals are resolved, and after the completion of all claims processing. Please be patient, as this process will take some time to complete.
